SPECIAL INSTRUCTIONS
     
  1. Taxes and Fees
    All applicable taxes or fees associated with the  purchase, registration, title transfer, or licensing of this item  are the responsibility of the Buyer.

  3. Removal
    The item is being sold "where is" and "as is". The Buyer is responsible for arranging removal from the auction site located at Port Everglades, in Broward County  Florida. Buyer is responsible for all removal work and cost  including disassembly. Buyer is responsible for removing item and  taking possession within sixty (60) calendar days of Notice to  Proceed. Failure to remove the property as required could result in  the Seller rescinding the award. If the Buyer or Buyer's agent does  not take possession of the item in the sixty (60) calendar day time  frame, the Buyer will be liable for all costs Seller may incur for  moving and/or for disposing of the crane up to the total amount of  funds received from the Buyer. Buyer and/or Buyer's agent is  responsible for all local, state, federal, or other jurisdiction  fees, licenses, and permits required to remove and transport  property at the Buyer's cost.
       
             
                      
    1. Licenses - The licensing requirement for the above referenced project contractor or subcontractor must possess one (1) of the following licenses and State Registration (if applicable), and provide such to County is as follows:        
             
              STATE: CERTIFIED GENERAL CONTRACTOR;
             
                  OR
             
              COUNTY: GENERAL BUILDING CONTRACTOR CLASS "A"
              (Must be registered with the State)
             
              Please note that all work not within the scope of the above contractor should be completed by a licensed subcontractor. All contractors must have current liability insurance and workers compensation, or proof of exemption from workers compensation.

    3. Permits - Crane is located within the boundaries of the City of  Hollywood. Contact the City of Hollywood for their specific requirements:

  5. WARRANTIES
        NO WARRANTIES. This item is being sold "as is" and     "where is", with NO WARRANTIES, expressed, written, or implied. Seller shall not be responsible for the correct description, authenticity, genuineness, or a defect of any item sold herein, and makes no warranties in connection therewith. No allowance or set aside will be made on account of any incorrectness, imperfection, defect or damage. Any descriptions or representations are for identification purposes only and are not to be construed as a warranty of any type. Seller shall and will make every reasonable effort to disclose any known defects associated with this item at the Buyer's request prior to the close of sale, but this too, shall not be interpreted as a warranty of any kind. Seller assumes no responsibility for any repairs regardless of any oral statements about the item.

  6. Insurance Requirements: (See sample insurance certificate below)

    The Insurance Requirements contained in this Auction represent the minimal protection necessary for the County as determined by the Risk Management Division. Further modifications of the requirements may be made at the sole discretion of the Risk Management Division upon a material change in scope at any time during the term of the contract upon mutual agreement of the parties. No Notice to Proceed will be issued until a written determination is made by Risk Management Division that the County is adequately protected. The Buyer should provide proper insurance to the Purchasing Division Central Warehouse within five (5)business days after requested by the Purchasing Division Central Warehouse staff. Without limiting any of the other obligations or liabilities of Buyer, Buyer shall provide, pay for, and maintain in force until all of its work to be performed under this Contract has been completed and accepted by the COUNTY (or for such duration as is otherwise specified hereinafter), the insurance coverage set forth in this Section.

     
    1. Workers' Compensation Insurance to apply for all employees in compliance with the "Workers Compensation Law" of the State of Florida and all applicable Federal laws. In addition, the policy/policies must include:

      1. Employers' Liability with minimum limits of One Hundred Thousand Dollars ($100,000) each accident.

      2.    
      3. Notice of Cancellation and/or Restriction -- The policy/policies must be endorsed to provide Broward County with thirty (30) days notice of cancellation and/or restriction.

      5. If any operations are to be undertaken on or about navigable waters, coverage must be included for the U.S. Longshoremen and Harbor Workers Act and Jones Act.

    3. Comprehensive General Liability with minimum limits of  One Million Dollars ($1,000,000) per occurrence and  One Million Dollars ($1,000,000) aggregate combined single limit for Bodily Injury Liability and Property Damage Liability. Coverage must be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability policy, without restrictive endorsements, as filed by the Insurance Services Office and must include:

COUNTY is to be expressly included as an "Additional Insured" in the name of "Broward County Board of Commissioners" with respect to liability arising out of operations performed for COUNTY by or on behalf of Buyer or acts or omissions of COUNTY in connection with general supervision of such operation.

    4. Business Automobile Liability with minimum limits of   Five Hundred Thousand Dollars ($500,000) per occurrence combined single limit for Bodily Injury Liability and Property Damage Liability. Coverage must be afforded on a form no more restrictive than the latest edition of the Business Automobile Liability policy, without restrictive endorsements, as filed by the Insurance Services Office and must include:

    5. Installation Floater required for replacement of material, equipment, installation. All risk, agreed value. Otherwise, Buyer will be responsible for tools, materials, equipment, machinery, etc., until completion, acceptance by County and County takes possession, with a deductible of not more than   Ten Thousand Dollars ($10,000) each claim.

The Buyer shall provide to the COUNTY Certificates of Insurance or endorsements evidencing the insurance coverage specified in 4(a), 4(b), 4(c), and 4(d) above within five (5) business days after requested by the Purchasing Division. The required Certificates of Insurance shall state the types of policies PROVIDED, refer specifically to this contract, and state that such insurance is as required by this contract. If the initial insurance expires prior to the completion of the work, renewal Certificates of Insurance shall be furnished thirty (30) days prior to the date of their expiration.

    9. Certificates of insurance shall be provided as specified in sub-section 4(e) above unless any of these coverages are, for just cause, inapplicable, and upon specific request by the vendor are excepted by written   determination of Risk Management and approved by the Director of Purchasing. If an exception is requested, the Buyer should indicate in writing to the Purchasing Division any such request including reason(s) thereto for exemption from insurance requirements as specified in this section of the special instructions to bidders.

  7. Indemnification
    Buyer hereby agrees to indemnify and save harmless the County, its commissioners, officers, agents and employees, from or on account of any injuries or damages received or sustained by any person or persons during or including, without limitation, the removal of any property purchased by the Buyer from the County and/or the sale by Buyer of any such property to third parties; or by consequence of any negligence of Buyer, its subcontractors, employees or agents in connection with same; or on account of any defect in the operation or physical condition of any such property; or on account of use of any improper materials by or any act or omission of the Buyer, its subcontractors, agents or employees. Buyer hereby agrees to indemnify and save harmless the County, its commissioners, officers, agents and employees, against any claims or liabilities, arising from or based upon the violation of any federal, state, county or local laws, ordinances or regulations by the Buyer, its subcontractors, agents or employees. These indemnifications shall survive the conveyance of any properties to the Buyer. In the event any action or proceeding is brought against the County by reason of any such injury, damages, claim or liability, successful Buyer, upon written demand from the County, at Buyer's sole expense, shall resist and defend such action or proceeding by counsel satisfactory to the County.

  8. Limitation of Liability
    Without waiving any other defenses or immunities provided by law, the County shall not be liable for any demand or claim, regardless of form of action, arising out of or incident to the posting of information or data on this website, the accessing or use of any information or data on this web site, and/or the acts or omissions of any person or entity accessing or use of any information from this web site. This includes, but is not limited to, claims arising out of or incident to incorrect or incomplete data or information accessed pursuant to this Disclaimer Agreement. All bidders are advised to independently verify any information or data obtained pursuant to this Disclaimer Agreement with the Division of Purchasing. Bidders agree that the services are provided "as is"; County makes no representation or warranty with respect to accuracy, completeness, or timeliness; and County specifically disclaims any other warranty, express, implied or statutory, including any warranty of merchantability or fitness for a particular purpose. County does not expressly or impliedly warrant that the information or data accessed by bidder is accurate or correct. There are no expressed or implied warranties in connection with this service. County shall not be liable on account of any such errors, omissions, delays, or losses. Bidders agree that in no event will County be liable for the results of bidder's use of the services, inability or failure to conduct its business, or for indirect, special or consequential damages. The foregoing limitation of liability and exclusion of certain damages shall apply regardless of the success or effectiveness of other remedies.

    Bidders hereby relieve and release County, it officers, employees, and agents from liability from any and all damages resulting from interrupted service of any kind.

    Nothing in this agreement shall be construed as waiving the sovereign immunity of County, its officers, employees and agents.

    The County provides no warranties of any kind or nature, express or implied, and specifically disclaims any and all warranties of any kind or nature, express or implied, and specifically disclaims any and all warranties with regard to any computer programs, materials or services in connection with this web site. The County diligently strives to maintain accurate, complete and timely data on this web site but shall not be liable for any consequential, exemplary, incidental or special damages arising from or in connection with data or information accessed via this site.

  9. Port Everglades Security Requirements
    The Department of Port Everglades requires persons to present, at port entry, a valid driver's license and valid reason for wishing to be granted port access in order to obtain a temporary/visitor id badge. For persons who will visit the port more than five (5) times in a ninety (90) day period, a permanent identification badge must be obtained and paid for by the Buyer for all employees, subcontractors, agents and servants visiting or working on the port project. A restricted access badge application process will include fingerprints and a comprehensive background check. Badges must be renewed annually and the fees paid pursuant to     Broward county administrative code, section 42.6.

    All vehicles that are used regularly on the dock apron must have a dockside parking permit. Only a limited number of permits will be issued per business entity. The fee is $100.00 per permit/vehicle. Individuals requesting a permit must possess a valid port- issued restricted access area badge with a     "dock" destination. Requests for dockside parking permits must be submitted in writing, on company letterhead, to the id badge office. Applicants must demonstrate a need for access to the dock apron. Requests shall be investigated, and approved, if appropriate justification is provided. Supporting documentation must be supplied, if requested. Dock permits are not transferable and must be affixed to the lower left corner of the permitted vehicle's windshield. Should the permit holder wish to transfer the permit to another vehicle during the term of issuance, the permit will be removed and exchanged at no charge for a new permit. Only one business entity representative will be permitted on the dock at a time at the vessel location.

  10. Special Notice: In accordance with OSHA regulation 29 CFR 1926.1101(k) (2), bidders are notified of the presence of asbestos containing material and/or presumed asbestos containing material at some Broward County locations.   11. Notice to Proceed
    Buyer will receive notification of award subject to payment and proof of insurance. Once Broward County receives an insurance certificate in compliance with Section 8,proof of license requirements in compliance with Section 4.a, and funds equal to payment in full have been received and cleared, a Notice to Proceed will be issued to the Buyer. The Notice to Proceed will authorize the Buyer to proceed with the scope of work associated with the disassembly and removal of the crane in accordance with all of the terms and conditions listed in this document.

  12. Bill of Sale The Seller will issue Buyer a Bill of Sale upon receipt of proper insurance, receipt and clearance of funds, and upon the successful completion of all of the requirements of this contract.

  13. THE SALE IS FINAL
    Buyer agrees to accept and comply with all of the terms and provisions as listed above. Submission of a bid shall be construed that the Buyer has read, understands, and agrees to comply with all of the terms and conditions contained in this document.
